ELC: Board Resolution – Mar 11 Electronics Communications Technology Investment Development Corporation (Elcom Corp) announced the board resolution dated March 11, 2015 as follows:
1) The Board of Directors approved the plan on interim dividend, issuing 2015 ESOP shares and holding the 2015 Annual General Meeting of Shareholders
- Plan on 2014 dividend payment:
- The company will pay 2014 interim dividend at 12%/par value in April 2015
- The company will submit the General Meeting to pay an additional of 8% stock dividend in May or June, 2015 from capital surplus.
- Plan on issuing 2015 ESOP shares: delay plan on issuing shares under the employee stock ownership plan (ESOP) in 2015 to Quarter 2 or Quarter 3, 2015.
- Plan on holding the 2015 Annual General Meeting of Shareholders in April 2015. The company will notice venue and content of the 2015 Annual General Meeting of Shareholders later.
2) The Board of Directors approved plan on restructuring investments:
- To withdraw investment capital from its non-core investments.
- To restructure new Elcom Industry
3) The Board of Directors approved transaction having value of below 5% of the company’s asset based on financial statements at latest with major shareholders, insiders or affiliated person of major shareholders, insiders. HOSE
