LGC: Resolution of 2015 extraordinary general meeting of shareholders

CII Bridges and Roads Investment Joint Stock Company announced the Resolution of 2015 extraordinary general meeting of shareholders dated February 09, 2015 as follows:

1)     The Board of Directors approved to adjust the purpose on using the proceeds from the convertible bond issuance and authorized the Board of Directors to decide the plan of using the proceeds.

2)     The Board of Directors approved CII Bridges and Roads Investment Joint Stock Company to transfer 30 million shares to Metro Pacific Tollways Corporation (MPTC) (Phillippines) and MPTC not to offer to buy shares which lead to its holding exceeding 25% in LGC.

3)     The Board of Directors approved to issue VND1,020 billion bonds which will be converted into shares of CII Bridges and Roads to the partner Metro Pacific Tollways Crporation (MPTC) and MPTC not to offer to buy shares.

4)     The Board of Directors approved to adjust limiting on ownership ratio of foreign investors from 49% to 4.08%.

5)     The Board of Directors approved the supplementary election of 02 Board Directors members for 2013-2018 term:
