PNJ: PNJ to sell all stake in SFC

Phu Nhuan Jewelry Joint Stock Company (PNJ) announced Board Resolution No.899/2014/NQ-HDQT-CTY dated September 22, 2014 as follows:

The Board of Directors resolved:

Article 1: To approve to transfer all stake owned by Phu Nhuan Jewelry Joint Stock Company (PNJ) in Sai Gon Fuel Joint Stock Company (SFC) to another individual or institutional investor.

Article 2: To authorize the BOD Chairman to decide a transfer price and other contents relating to the transfer.

Article 3: To agree that the transferee will be entitled to inherit all rights and obligations from the issuer for the transferred shares from the date of completion of the transfer procedures as specified by SFC’s charter and by laws.

Article 4: Time of transfer: from September 23, 2014 to the end of 2014.

Article 5: To assign Ms. Cao Thi Ngoc Dung to complete necessary procedures.
