SMA: Resolution of Annual General Meeting 2014

Sài Gòn Machinery Spare Parts Joint Stock Company announced the resolution of the 2014 annual general meeting dated June 21, 2014:

Article 1: AGM approved the 2013 business result, 2013 profit distribution and dividend

—    Net revenue: VND780,002,621,968

—    Profit before tax: VND9,145,122,296

—    Corporation income tax: VND2,303,489,648

—    Profit after tax: VND7,691,365,674

—    Dividend (4%/par value): VND6,448,000,000

—    Financial reserve fund: VND1,243,365,674

Article 2: AGM approved the business plan for 2014:

—    Total revenue: VND800 billion

—    Profit before tax: VND15.627 billion

—    Expected dividend: 6%

Article 3: AGM approved remuneration for the Board of Directors, the Board of Supervisors in 2014 is VND 180 million.

Article 4: AGM approved the BOD Chairman concurrently as CEO

Article 5: AGM approved Auditing and Informatics Services Company Limited (AISC)  to audit financial statements for fiscal year 2014.
