ICF: Resolution of AGM 2014

Investment Commerce Fisheries Corporation (INCOMFISH) announced the resolution of the 2014 Annual General Meeting which was organized on June 20, 2014:

Article 1: Approving the 2013 financial statements audited by DFK Vietnam.

Article 2: Approving the 2013 income report and business plan for 2014 with main items as follows:

1)     Revenue and profit in 2013:

—    Revenue from selling: VND168,091,83,381

—    Profit after tax: VND1,498,496,083

—    Setting up funds: VND1,498,496,083

2)     Business plan for 2014:

—    Revenue: VND509,000,000,000

—    Profit after tax: VND15,540,000,000

—    Basic EPS: VND800 – VND1,000

Article 3: Approving the report by the Board of Directors on the management of the Senior Management in 2013.

Article 4: Approving the report by the Board of Supervisors.

Article 5: Approving to not pay the allowance level for the Board of Directors and the Board of Supervisors in 2013.

Article 6: Authorizing the BOD to pay the allowance level for the Board of Directors and the Board of Supervisors in 2014.

Article 7: Approving to authorize the Board of Directors to choose an auditing company to audit ICF’s financial statements in 2014.

Article 8: The effective date of this resolution is June 20, 2014.
