Hoa Phat Group Joint Stock Company (HOA PHAT GROUP) has announced the resolution of the annual general meeting 2014 (AGM 2014) as follows:
Article
1: The AGM approved the following items:
- The 2014 business
plans: revenue at VND 23,000 billion and profit after tax at 2,200 billion.
- The report of the
Board of Directors No. 04-2014/BC-HP date March 10, 2014.
- The report of the
Supervisory Board No. 05-2014/BC-HP date March 20, 2014.
- The audited consolidated
financial statements by KPMG Co. Ltd
- The 2013, 2014
dividend ratio:
- The 2013 dividend ratio:
30% in which 15% cash dividend and 15% stock dividend
- The AGM authorized
the Board of Directors to pay in Quarter II/2014.
- The 2014 dividend ratio: expected 30%
- The 2013 dividend
plan with ratio: expected 20%
- The profit
distribution in 2014 as follows:

Financial
provision fund: according to the company's charter

Bonus
& welfare funds: maximum as 5% of profit after tax.
·
Remuneration
of the Board of Directors not exceeding 1% profit after tax in 2014 and
authorizing the BOD Chairman to decide remuneration to members of the Board of
Directors.

Remuneration
of the Senior management not exceeding 5% of exceeding profit.

2: This resolution took effect from date signing.
