Article 2: The retained earnings in 2013 will be used to pay dividends in 2014.
Article 3: Business plan for 2014
- Finished product of fisheries: 9,000 tons
- Net Revenue: VND550 billion
- Profit before tax: VND80 billion
- Dividend: 40-60%
Article 4: Payment of remuneration of the Board of Directors, the Board of Supervisors and secretaries in 2014 and payment of bonus for the Board of Directors:
- Payment of remuneration of the Board of Directors, the Board of Supervisors and secretaries: VND600 million.
- Payment of Bonus for the Board of Directors:
+ Complete profit targets: rewarding a bonus of 1% of profit after tax.
+ Profit after tax exceeds VND80 billion: rewarding a bonus of 10% of the exceeded part, but not more than VND2 billion.
Article 5: Choosing an auditing firm for fiscal year 2014 in the three companies:
- Auditing and Informatics Services Company Limited (AISC)
- Ernst & Young Viet Nam Company Limited
- Vietvalues Assurance & Consulting Company Limited
Article 6: Appointing Mr. Nguyen Van Khai as a member of The Board of Directors for the period (2012-2016).
Article 7: The BOD chairman concurrently holds the position of CEO
