LBM: Board Resolution

Lam Dong Mineral and Building Material Joint Stock Company announced the Board Resolution No 13 as follows:

Article 1: The BOD approved the business result report 11 months and estimated business result in 2013 as follows:

-         Revenue: VND211,480,000,000

-         Profit before tax: VND 21,764,000,000

-         Depreciation: VND14,646,000,000

-         Total wage fund: VND28,066,000,000

Article 2: The BOD approved the business plan in 2014:

-         Revenue: VND202,112,000,000

-         Profit before tax: VND 21,112,000,000

-         Depreciation: VND15,857,000,000

-         Total wage fund: VND27,037,000,000

Article 3: The BOD approved to issue economic and technical norms.

Article 4: The BOD approved to deal with inventory of Hiep An Enterprise as follows:

-         Decrease the value of inventory for consumption:

+         Fire brick: 134,117 tons                                        Value decreased: VND514,506,493

+         Porous brick: 33,437 tons                                     Value decreased: VND138,464,723

Total: VND652,971,216

-         Liquidate the product with poor quality:

+         Fire brick: 2,520 tons                                                     Value decreased: VND10,133,162

+         Porous brick: 8,108 tons                                                 Value decreased: VND34,894,844

                                                                                   Total: VND45,028,006

Article 5: The BOD approved to appoint

-         Mr Phan Ngoc Son as Manager of Personnel Department

-         Mr Nguyen Quang Duyet as Manager of Technique – Production

-         Mr Le Cao Quang as Director of Hiep Luc Concrete Enterprise

-         Mr Tran Van Hien as Director of Hiep Tien Enterprise

-         As from January 01, 2014

Article 6: The BOD approved the additional compensation expenses for mines.

-         Tam bo – Di Linh – Lam Dong bentonite mine: VND88,800,000

-         N’thol Ha mine: VND87,372,000

Article 7: The BOD approved to issue finance management regulation. And it becomes effective from January 01, 2014

Article 8: The BOD approved to issue emulation and reward regulation. And it becomes effective from January 01, 2014

Article 9: The BOD approved to pay salary of month No 13 and bonus for Tet holiday to employees with total amount of money not more than VND2.5 billion from the remaining wage fund of 2013.

Article 10: The BOD approved to increase the salary of the Board of Management and Chief Accountant because of the company exceeded the profit target in 2013 with total amount of money as VND229,200,000 from the remaining wage fund of 2013.
