KDC: Explanation for late information disclosure

Kinh Do Corporation explained its late disclosure on the board resolution because:

-         On May 24, 2012, the Board of Directors issued the Board Resolution No. 05/HDQT-KDC to issue shares in the employees stock Ownership Plan (ESOP). The company submitted document to the State Securities Commission (SSC) but failed to know the SSC had any question to make any correction, so the company failed to send the resolution to the Hochiminh Stock Exchange.

-         Because a tying mistake, the 2012 Management Report mentioned to the Resolution No.2507/2012/NQ-HDQT dated July 23, 2012 approving the ESOP share issue plan. However, on July 23, 2012 the Board of Directors only met and issued 02 the resolution related to the selection of auditing company and signing credit contract. In short, there is only a resolution No. 05/HDQT-KDC related to the ESOP issue plan.
