VNM: Board Resolution Feb 26

Viet Nam Dairy Products Joint-Stock Company announced the resolution of the Board of Directors dated February 26, 2013 as follows:

Article 1: The Board of Directors approved to change stock release time for staffs:

1.       Shares issued according the Employee Stock Ownership Plan (ESOP) having release time in 2013 will be adjusted on June 30, 2013.

2.       Shares issued according to the Employee Stock Ownership Plan (ESOP) having release time in 2014 will be adjusted on June 30, 2014.

Article 2: The Board of Directors approved to deal with fractional shares of employees who left job or suffers disciplines:

3.       Price to buy back shares from employees who left job or suffers disciplines at VND10,000/share plus non-time interest from the issuing date to the time of shares recovery.

4.       Source for buyback: from the undistributed profit or development and investment funds and the capital surplus.

Article 3: This resolution takes effect as from February 26, 2013.
