Godaco Seafood Joint Stock Company (Godaco Seafood) announced the resolution of the Extraordinary Shareholders’ Meeting held on October 05, 2012:
Article 1: The Meeting approved a plan for private
placement to strategic shareholders, with main contents as follows:

Number of shares issued in the private placement: from
6,000,000 to 9,000,000 shares

Stock type: common stock

Par value: VND10,000/share

Offering price: the extraordinary meeting authorized the
Board of Directors to decide a price by negotiating with investors, but the
price will not be less than VND55,000/share.

Offering time: decided by the Board of Directors and after
the State authorities approve.

The Board of Directors will look for reputable investors.
Article 2: The Meeting approved to delist all of
Godaco Seafood’s outstanding shares, which are being traded on the Hochiminh
Stock Exchange.
Article 3: The Meeting authorized the Board of
Directors to plan to repurchase all shares of minority shareholders at
VND50,000/share before delisting.
Article 4: The effective date of this resolution is
October 05, 2012.
