AVF: Board Resolution on Stock Issuance

Anvifish Joint Stock Company announced the resolution of the Board of Directors on July 19, 2012:

Article 1: The Board of Directors approved the issuance plan as follows:

• Stock type: common stock (transferable)
• Estimated offering volume: 10,000,000 shares
• Offering price: not lower than VND10,000/share
• Total offering value: VND100 billion
• Purpose: to finance two aquaculture areas in Binh Thanh (90,000 m2 of water surface area) and Phu Thuan (245,000 m2 of water surface area) with total production of about 16,000 tons/year.
• Offering method: a public offering

Article 2: The Board of Directors approved to use the estimated proceeds of VND100 billion for the following purposes:

• Phu Thuan aquaculture area: VND73 billion
• Binh Thanh aquaculture area: VND27 billion.
