SEC: The BOD’s resolution of additional issue

Gia Lai Cane Sugar Thermoelectricity Joint Stock Company has announced the BOD’s resolution as follows:

Article 1: Approving a new share issue based plans of the offer:

-         Stock name: Stock of Gia Lai Cane Sugar Thermoelectricity Joint Stock Company

-         Stock type: common share

-         Par value: 10,000 dongs / share

-         Issue volume: 3,481,316 shares

-         Issue price: 10,000 dongs / share

-         Total issue value: 34,813,160,000 dongs

-         Objects of the issue: to existing shareholders

-         Transfer principle: New shares are transferable

-         Issue method:

+         Issue to existing shareholders. Exercise ratio:  (5:1) (the one who owns 01 share at the record date will receive 01 right, and every 5 rights can buy 01 new share).

-         Plan to deal with fractional shares:

+         The distributed shares will be rounded down. The fractional shares will be decided by the Board of Director.

For example, if shareholder A owns 2,344 shares at the record date, he will bought: 2,344x1:5 = 468.8 shares. However, because of rounding down, he will receive only 468 new shares and 0.8 share will be decided by the Board of Director.

+         All rights issued from paying the 2011 stock dividends are transferable and rights only transferred 01 time.

+         Besides, the Board of Director will be canceled 21 new shares because 104 treasury stock was bought this 21 new shares.

+         Issue time: in 90 days from State Securities Commission issues license

+         Purpose of the issue: supplementing working capital

Article 2: Approving to choose BAOVIET SECURITIES JOINT STOCK COMPANY to consult plan for issuing to existing shareholders in 2012.

Article 3: The resolution is valid as from May 25, 2012.
