VNG: Resolution of the Board of Directors
Viet Nam Golf Tourism Joint Stock Company (VINAGOLF) announced the resolution of the Board of Directors dated February 02, 2012:
1. The Board of Directors asked the Directorate to adjust reports on profit and loss in 2011 and business plans for 2012.
2. The Board of Directors approved to appoint Mr. Nguyen Duc Hiep as Chief Financial Officer of Vinagolf and Mr. Van Cong Duc as Chief Accountant of Vinagolf.
3. The Board of Directors approved the resignation of Mr. Le Huy from the Board of Directors.
4. The Board of Directors approved the adjusted financial regulations of Vinagolf applied from February 01, 2012.
5. The Board of Directors approved to allow Vinagolf to sign consulting service contracts for the transfers of assets or shares in Golf 1 Hotel – Da Lat city, Golf Can Tho Hotel, Golf Angkor Hotel.
6. The Board of Directors approved to continue executing the plans which were adopted by the Shareholders’ Meeting and the Board of Directors such as issuing shares to raise capital, or seeking strategic partners to transfer shares/assets to restructure Vinagolf’s capital.
7. The Board of Directors approved the establishment of funds and dividend payment in 2011. However, the Board of Directors will submit documents to the coming annual general meeting of shareholders to retain all of the remaining profit (VND1,948,117,363) after setting up funds and add the profit to dividends in 2012.
8. The Board of Directors approved the meeting time for the 2012 annual general meeting of shareholders: 13:30pm, March 26, 2012.
