MNC: Board Resolution

Mailinh Corp.In Northern Central (HNX: MNC) announces the Board Resolution approved on 08/09/2011 as follows:

1. Transferring contribution capital of Mai Linh Lao Bao Investment One Member Company Limited to Mai Linh Energy Joint Stock Company

- Total transfer value: VND 6,800,000,000

- After finishing procedures for the transfer, the Company will end its rights and duties in Mai Linh Lao Bao Investment One Member Company Limited.

2. Mr. Vo Thanh Nhan, Vice Chair of the BOD has been authorized to sign contract on the transfer with Mai Linh Energy Joint Stock Company and carry out procedures relating to capital transfer.
