TNC: The BOD's resolution
Thong Nhat Rubber JSC (HOSE: TRC) has announced the BOD’s resolution as follows:
Article 1: Approved of business reports in the first 06 months 2011 and business plans for the last 06 months 2011 of Mr. Le Nhu Sinh - Deputy CEO. The BOD requested Management Board to focus in preserving products and production.
Article 2: Approving of the 2011 adjusted plans to submit to the shareholders’ meeting:
• Revenue: 177.4 billion dongs adjusted to 218 billion dongs
• Profit after tax: 49.6 billion dongs adjusted to 75 billion dongs
• Dividend rate: 10% /year adjusted to 15%-18% /year
Article 3: Approving of considering the splitting of Phuoc Hung Ago-Processing Factory (*) to found a subsidiary in the shareholders’ meeting and assigning Administration Dept. & Sales Dept. implement procedure for the foundation
Article 4: Requesting the Management Board to liquidate assets and machinery at Bau Non Wood Processing Factory (*) and auction all under the Law because the investment was not effective
Article 5: Approving of rejecting spoiled material and products because of trying a processing line of bran balls at Hung Long Feed Processing Factory (*). Therefore, the company will reject 9,361kg of spoiled corn material and 2,515kg of spoiled bran type 1 & 4. The expenses will be recorded in expenses of machinery trying
Article 6: Assigning more 02 Deputy CEO:
• Mr. Nguyen Huu Manh Nhuong - Deputy Chairman of the BOD cum Chief Accountant
• Mr. Le Cao Thuong - Member of the BOD cum Head of Investment - Technology Dept.
