LCS: Board resolution
Licogi 16.6 Joint Stock Company (HNX: LCS) announces the board resolution approved on 07/04/2011 as follows:
1. Dividend payment 2010 in cash:
- Exercise rate: 20% of par value (Shareholders will receive VND 2,000 for every share they own)
- Outstanding shares: 4,100,000 shares
- Total dividend payment 2010: VND 8,200,000,000
- Record date: 27/04/2011
- Exercise date for dividend payment: 16/05/2011
- Place for payment:
+ For deposited shares: Securities companies where shares of shareholders have been deposited.
+ For undeposited shares: Licogi 16.6 Joint Stock Company on working days from 16/05/2011. Securities certificate and Identification Card (Original copy) are required. In case of authorization, a proxy with certified seal of the local authority is further requested in addtion to the mentioned above.
2. Plan of seasoned issue:
* For Strategical Shareholders:
- Total volume of shares to be offered: 1,000,000 shares
- Stock type: stock under transfer restriction within 1 year since the issue date
- Price: negotiated, not lower than VND 12,500 /share
- Time of registration for purchase: From 16/05/2011 to 08/06/2011
- For Staff:
- Total volume of shares to be offered: 205,000 shares
- Stock type:
- Price: VND 12,500 /share
- Time of registration for purchase: From 16/05/2011 to 08/06/2011
- For Outstanding shareholders:
- Total volume of shares to be offered: 2,695,000 shares
- Price: VND 12,500 /share
- Record date: 27/04/2011
- Exercise rate: 100:65.7 (Shareholders are entitled to buy 65.7 new shares for every 100 shares they own. The number of shares shareholder can buy is rounded down to unit digit).
- The odd shares and shares unsold will be sold by the Board of Directors with price not lower than VND 12,500/share
- Time for transfer of share purchase rights: From 16/05/2011 to 08/06/2011
- Time of registration for purchase: From 16/05/2011 to 10/06/2011
- The owner of share purchase rights can transfer his rights once to another person through negotiation, The rights transferred can not be transferred to the third party
