PSI: Results of annual general meeting of shareholders 2011
PetroVietnam Securities Incorporated (HNX: PSI) has disclosed the results of its Annual General Meeting of Shareholders held on 20/01/2011. The following resolutions were approved:
1. Report of Operating result of 2010
- Revenue: VND 258,656 mil
- Profit before tax: VND 85,675 mil
2. Plan in 2011
- Charter capital: VND 598,413 mil
- Revenue: VND 351,700 mil
- Profit before tax: VND 101,400 mil
3. Activities report of the BOD in 2010 and plan for 2011
4. Audited financial statement 2010 and profit distribution plan:
+ Profit after tax: VND 64,929,252,646
+ Financial reserve and charter capital supplement fund (10%): VND 6,492,925,264
+ Dividend payment (20% by cash): VND 20,000,000,000
+ Reward to BOD, BOM: VND 900 mil
+ Reward and welfare fund: VND 6,492,925,264
+ Dividend payment of 2010 (10%): VND 50,925,000,000
5. Activities report of the Supervisory Board in 2010 and plan for 2011
6. Selection of Deloitte Vietnam to audit the company semi annual Financial report and annual financial report of 2011.
7. Payment for Board of Directors and Supervisory Board in 2010 and plan for 2011
8. Approved on results of seasoned issue phase 1 and end of seasoned issue phase 2.
9. Agreed on the issuance to increase charter capital in 2011 as follow:
- Total volume of shares to be issued: 8,916,300 shares
- Offering price: VND 15,000 /share
- Subject of the placement: Foreign strategic partner.
- Method of the placement: Private placement
- Expected exercise date: Quarter I/2011
- Shares issued under this placement are under transfer restriction within 01 year since the completion date of the issuance.
- New charter capital after the placement: VND 598,413,000,000
- Purpose of the placement: Increase working capital, enhance the underwritting capacity of the company.
- Newly issued shares shall be deposited and listed in HNX.
10. Agreed on the adjustment of share transfer restriction period from 01 year to 06 months since the completion date (08/10/2010) for shares issued in the issuance to employees in 2010.
11. Change in Supervisory Board:
- Mr. Dang Phuong Thuy has resigned from Member of Supervisory Board
- Mr. Nguyen Viet Anh has been appointed Member of Supervisory Board.
