VNE: Resolution on an offer of undistributed shares
Vietnam Electricity Construction Joint Stock Corporation (HoSE: VNE) announced the resolution of the Board of Directors:
Article 1: The number of shares which Vietnam Electricity Construction Joint Stock Corporation distributed to investors until the registration deadline (August 25, 2010):
* Total volume allowed to issue: 31,721,080 shares (6,344,216 shares for dividend payment and 25,376,864 shares for the existing shareholders).
* Total successfully-issued volume: 27,110,565 shares
* In which: the number of shares issued to the existing shareholders at a rate of 10:8 is 20,766,358 shares; the number of dividend shares (With an exercise rate of 20%) is 6,344,207 shares.
* Total odd shares cancelled: 19 shares
* In which: Odd shares (Fractional parts) issued to the existing shareholders at a rate of 10:8 is 10 shares; Odd shares (Fractional parts) issued to pay 20-percent dividend is 09 shares.
* Total shares refused to buy by the existing shareholders: 4,610,496 shares (=25,376,864 - 20,766,358 – 10 shares)
Article 2: Redistributing the shares refused to buy by the existing shareholders:
* The Board of Directors decided to distribute all remaining share (4,610,496 shares) to 84 investors who registered to buy.
* Stock type: Transferable common stock
* Offer price: VND10,000/share
* Time of implementing rights: From September 28, 2010 to September 29, 2010.
* Bank account of Vietnam Electricity Construction Joint Stock Corporation: 401704060006230.
* At Vietnam International Commercial Joint Stock Bank – Da Nang Branch.
Article 3: This resolution takes effect from September 24, 2010.
