VIC: BOD Resolution No.22
The Board of Directors of Vincom Joint Stock Company unanimously approved the following articles:
Article 1: Receiving shares transferred from Ms. Van Thi Hong Hanh and Mr. Luong Quoc Binh of Green City Development Joint Stock Company (*):
1. First transferor: Ms. Van Thi Hong Hanh
* Owning volume: 12,000,000 shares, equivalent to VND120 billion, accounting for 12% of charter capital of Green City Development Joint Stock Company.
* Transferred volume: 12,000,000 shares equivalent to VND120 billion, accounting for 12% of charter capital of Green City Development Joint Stock Company.
* Stock type: Common stock
2. Second transferor: Mr. Luong Quoc Binh
* Owning volume: 12,000,000 shares, equivalent to VND120 billion, accounting for 12% of charter capital of Green City Development Joint Stock Company.
* Transferred volume: 12,000,000 shares, equivalent to VND120 billion, accounting for 12% of charter capital of Green City Development Joint Stock Company.
After receiving the share transfer from Ms. Van Thi Hong Hanh and Mr. Luong Quoc Binh, Vincom Joint Stock Company will be a founding shareholder of Green City Development Joint Stock Company, and own 24,000,000 shares, equivalent to VND240 billion, accounting for 24% of charter capital of Green City Development Joint Stock Company.
Article 2: Appointing Ms. Mai Huong Noi, Vincom’s Director General, as the representative for Vincom’s capital (24,000,000 shares) in Green City Development Joint Stock Company.
Article 3: This resolution takes effect from August 30, 2010.
