PDC: Results of Annual General Meeting of Shareholders 2010

Phuong Dong Petroleum Tourism JSC has disclosed the results of its Annual General Meeting of Shareholders held on 24/5/2010. The following resolutions were approved:

1. Report of Operating result of 2009 and Plan in 2010. Activities report of the BOD and Supervisory Board in 2009 and plan for 2010

2. Operating plan in 2010:

- Total investment: VND 13.8 bil

- Revenue: VND 262 bil

- Profit before tax: VND 0.5 bil

- Profit after tax: VND 0.5 bil

- Dividend payout ratio: 0%

3. Operating results of 2009:

- Total Revenue: VND -59,75 bil

- Apportion for funds: VND 0

- Profit before tax: VND 0

- Dividend payout ratio: 0%

4. Profit distribution plan in 2010

+ Profit after tax: VND 507 mil

+ Apportion for fund: VND 0

+ Dividend: 0%

5. Choosing Deloitte Vietnam as auditor for auditing the Company’s 2010 financial statement

6. Resignation of Director in term 2008-2013 of:

- Mr. Nguyen Dinh Nguyen, with effect since 01/10/2009

- Mr. Phan Huy Thong with effect since 26/3/2010

- Mr. Hoang Trung Hung with effect since 26/3/2010

- Mr. Tran Van Mao has been appointed Director with effect since 01/10/2009 and resinged from Director with effect since 21/5/2010.

7. Appointement of Director in term 2008-2013 of:

- Mr. Nguyen Van Mau with effect since 26/3/2010

- Mr. Tran Hoai Duc with effect since 26/3/2010

- Mr. Tran Dinh Phuc with effect since 21/5/2010.

8. Assigned Mr. Tran Hoai Duc in position of General Manager/ legal representative of PDC with effect since 26/3/2010.

9. Payment for Board of Directors and Supervisory Board in 2009 and plan for 2010

10. Amendment of the company’s charter

11. Charter capital increase from VND 150 bil to VND 175 bil through private placement of 2,500,000 shares at offering price not lower than par value and authorized the BOD to decide on:

- Issuance plan and plan of using the proceeds

- Offering price of the private placement but not lower than par value

- Timeline and complete all charter increase procedures in 2010

- Complete all the contents, related documents and the listing procedures in HNX.
