SAF: Results of Annual General Meeting of Shareholders 2010
Safoco Foodstuff JSC has disclosed the results of its Annual General Meeting of Shareholders held on 22/4/2010. The following resolutions were approved:
1. Report of Operating result of 2009
- Revenue: VND 361,594 mil
- Profit: VND 16,483 mil
- Payment to State budget: VND 12,500 mil
2. Plan in 2010
- Revenue: VND 380,000 mil
- Profit: VND 15,000 mil
- Payment to State budget: VND 12,000 mil
3. Approval of audited finanancial statement of 2009.
4. Report of Supervisory Board on verification of operating results of 2009 and corporate finance as of 31/12/2009.
5. Profit distribution plan for 2009:
+ Development Investment Fund (10%): VND 1,182 mil
+ Reward and welfare fund (10%): VND 1,182 mil
+ Charter capital supplemented fund: VND 591 mil
+ Dividend payment: VND 8,862 mil, in which:
- Dividend paid in 2009 (20%): VND 5,412 mil
- Second dividend payment (12%): VND 3,247 mil
- Charity: VND 120 mil
6. Second dividend payment of 2009 by shares (12%):
- Total volume of shares to be issued: 324,720 shares
- Total par value of shares to be issued: VND 3,247,200,000
- Expected Issuance date: From 26/4/2010 to end of May, 2010.
- Number of shares issued is round down to unit digit.
7. Profit distribution plan for 2010:
+ Development Investment Fund (10%): VND 1,075 mil
+ Reward and welfare fund (10%): VND 1,075 mil
+ Charter capital supplemented fund: VND 537.5 mil
+ Expected Dividend payment (25%): VND 8,062.5 mil, in which:
8. Chair of the Board hold concurrently General Manager in 2010.
9. Choosing AASC as auditor for auditing the Company’s 2010 financial statement
10. Payment for Board of Directors and Supervisory Board in 2010
11. Apportion for Charity activities in 2010: VND 300 mil.
