PVS: Results of Annual General Meeting of Shareholders 2010
PetroVietnam Technical Services Corporation has disclosed the results of its Annual General Meeting of Shareholders held on 17/4/2010. The following resolutions were approved:
1. Activities report of the BOD and Supervisory Board in 2009 and plan for 2010.
2. Approval of the company’s 2009 Audited financial statement and Operating plan for 2010
- Revenue: VND 12,500 bil
- Profit before tax: VND 700 bil
- Dividend payout ratio: 15%
3. 2009 profit distribution plan:
+ Profit for distribution: VND 555,081 mil
+ Dividend payment (20% of charter capital): VND 400,000 mil
+ Financial reserve fund (5% of profit after tax): VND 27,754 mil
+ Reward and welfare fund (15% of profit after tax): VND 83,262 mil
+ Development Investment fund: VND 44,065 mil
4. Financial plan for 2010:
+ Profit for distribution: VND 600,000 mil
+ Dividend payment (15% of charter capital): VND 450,000 mil
+ Financial reserve fund (5% of profit after tax): VND 30,000 mil
+ Reward and welfare fund (15% of profit after tax): VND 90,000 mil
+ Development Investment fund: VND 30,000 mil
5. Choose Deloitte Vietnam as auditor for auditing the Company’s 2010 financial statement
6. Mr. Doan Minh Man has resigned from Director. Mr. Pham Viet Anh has been appointed Director..
7. Amendment of the company’s charter
8. Charter capital increase to VND 3,000 bil:
- Total volume of share to be issued: 100,000,000 shares
- Offering price: VND 10,000 /share
- Subject of the offering: outstanding shareholders
- Exercise rate: 2:1, in which:
+ Offering to Vietnam Oil and Gas Group: 51,000,000 shares
+ Offering to outstanding shareholders: 49,000,000 shares.
