PGS: Results of Annual General Meeting of Shareholders 2010
Petrovietnam Southern Gas JSC has disclosed the results of its Annual General Meeting of Shareholders held on 21/4/2010. The following resolutions were approved:
1. Report of Opearting result of 2009
- Revenue: VND 1,979 bil
- Profit before tax: VND 43.39 bil
- Payment to State Budget: VND 6.99 bil
2. Plan in 2010
- Revenue: VND 1,731.49 bil
- Profit before tax: VND 30.44 bil
- Charter capital: VND 215 bil
- Payment to State Budget: VND 5 bil
- Total investment: VND 228.38 bil
3. Audited financial statement 2009 and Dividend payment plan:
- Dividend payout ratio of 2009: 19% of the company’s charter capital, equivalent to VND 28.5 bil, in which:
+ First dividend payment: 10%, equivalent to VND 15 bil, record date: 7/5/2010
+ Second dividend payment: VND 13.5 bil, expected to be exercised in July, 2010.
4. Expected Dividend payout ratio for 2010: 14%
5. Payment for Board of Directors and Supervisory Board
6. Reward for excessive profit to the BOD, Supervisory Board and Management Board in 2009 and 2010: VND 200 mil/ year
7. Choose Delloitte Vietnam Ltd. Company as auditor for auditing the Company’s 2010 financial statement
8. Assigned Ms. Nguyen Minh Ngoc as Director in place of Mr. Do Tan.
9. Activities report of the BOD, Supervisory Board in 2009 and plan for 2010.
10. Adjustment of some criteria in Development Strategy of the company to 2015 and directions towards 2025.
