PSC: Results of Annual General Meeting of Shareholders 2009
Petrolimex Saigon Transportation and Service JSC has disclosed the results of its Annual General Meeting of Shareholders held on 04/04/2010. The following resolutions were approved:
1. Report of Opearting result of 2009
- Revenue: VND 802,842 mil
- Profit before tax: VND 12,001 mil
2. Plan in 2010
+ Revenue: VND 825,701 mil
+ Profit before tax: VND 10,047 mil
+ Dividend payment (By cash): 15% of charter capital
3. Report of Chair of the Board on operating plan and management plan in 2010
4. Investment plan in 2010: Purchase 10 petrol tankers, purchase land and build 03 petrol store, investment in construction of office building.
5. 2009 Profit distribution plan as follows:
- Dividend payment by cash: 18% of charter capital: VND 3,6 bil
- Apportion for development investment fund: VND 4,683,867,046
- Apportion for bonus fund: VND 700,000,000
- Apportion for welfare fund: VND 300 mil
- Bonus for management Board: VND 500 mil
- Apportion for Financial Provision Fund: VND 500 mil
6. Remuneration to BOD and Supervisory Board.
7. Bonus to Management Board from profit after tax
- Reward 1% of Profit after tax if achieved planned profit (VND 10,047 bil)
- Additional reward of 10% of Profit after tax if over-achieved of planned profit.
8. Auditing company in 2010
The General Meeting of Shareholders assigned the Board of Directors to choose the auditing company.
9. Charter capital increase from VND 20 bil to VND 48 bil
Expected offering price:
- Vietnam National Petroleum Corporation: VND 20,000/share
- Outstanding shareholders: VND 15,000/share.
