TLT: Results of General Meeting of Shareholders 2010
Viglacera Thanglong Ceramic Tiles JSC has disclosed the results of its General Meeting of Shareholders held on 12/03/2010. The following resolutions were approved:
1. Operating result 2009:
Profit before tax: VND 1,011 mil.
Profit after tax: VND 1,011 mil.
Fix asset depreciation: VND 20,386 mil.
Account receivable: VND 50,676 mil.
Average income of employees: VND 2,728,000
2. Report from Supervisory Board
3. Audited financial statement 2009
4. Chair of the Board will hold CEO conccurrently
5. Change of Directorate:
- Mr. Nguyen Viet Trung will not hold Director of the company
- Mr. Le Manh Quang will be director and representive of Corporation’s equity in Viglacera Thanglong Ceramic Tiles JSC.
6. Allowance for Board of directors and Supervisory Board 2009
- Board of directors and secretary: VND204 mil.
- Supervisory Board: VND 59 mil.
7. Operating plan 2010:
- Profit before tax: VND 6,368 mil.
- Fix asset depreciation: VND 23,744 mil.
- Account receivable: VND 40,000 mil.
- Average income of employees: VND 3,363,000
8. Allowance for Board of directors and Supervisory Board 2010
- Board of directors: VND 5,000,000/person
- Chief of Supervisory Board: VND 3,000,000/person
- Member of Supervisory Board: VND 2,000,000/person
- Secretary: VND 2,000,000/person
9. Bonus for management board:
In case the profit before tax of the company exceeds the plan 2010, the management board will be given a bonus of 50% of the excessive profit.
10. Change in the name of the company and amendment of the company
Viglacera Thanglong Ceramic Tiles JSC changed into Viglacera Thanglong JSC
11. Assigning the Board of Directors to choose auditor for auditing the Company’s financial statement, approve and cary out investment reports, investment capital settlement.
