CAD: Resolution of the shareholders’ meeting by a ballot
Cadovimex Seafood Import - Export And Processing Joint Stock Company (CADOVIMEX – VIETNAM) has announced the BOD’s resolution as follows:
Article 1: Approving the plan of issuing shares to increase charter capital:
- Stock type: Common stock
- Par value: VND10,000
- Issue volume: 8,000,000 shares
- Charter capital after the issue: VND160,000,000,000
- Objects: To the existing shareholders
- All existing shareholders were in a list recorded on the recorded date.
- Exercise ratio: 1:1 (A shareholder owning 100 shares on the recorded date will be allowed to buy 100 shares)
- Issue price: VND10,000 / share
- The additional issued shares will be rounded down. The fraction shares and the unsold shares (If any) will be sold to other objects with price equal to or higher than the offering price for the existing shareholders.
Article 2: Approving the deduction of capital surplus in shares to the existing shareholders:
- All existing shareholders in a list recorded on the recorded date will receive rights of deducting capital surplus in shares.
- Exercise ratio: 10:0 (A shareholder owning 100 shares on the recorded date will receive 10 shares)
Article 3: All shares from the issue and deduction of capital surplus will be listed on the HOSE.
Article 4: Authorizing the BOD to implement the resolution.
