TPC: Minutes of the BOD’s meeting

Tan Dai Hung Plastic Joint Stock Company (Tan Dai Hung Joint Stock Company) has announced the minutes of the BOD’s meeting as follows:

* Approving the 2009 financial statements audited by the Auditing and Consulting Co., Ltd.:

- Approving the 2009 audited financial statements of the parent company.

- Approving the 2009 audited consolidated financial statements.

The company will announce the information on official websites and issue the official documents to public under the law.

* Approving the 2009 annual report:

- Approving the 2009 annual report.

- The company will announce the information on official websites and issue the official documents to public under the law.

- The reports and related documents will send to shareholders in the 2010 annual shareholders’ meeting.

* Approving statements that will submit to the 2010 annual shareholders’ meeting:

- The statement of adjusting some items in the company’s regulation.

- The statement of not paying the 2009 dividend.

- The statement of buying additional 2,500,000 treasury stock in 2010.

- The statement of the information disclosure regulation of the company.

- The statement of adjusting compensation for the BOD and the Supervisory Board from 2010.

* Defining the main items in the 2010 annual shareholders’ meeting:

- Deciding the meeting time and venue for the 2010 annual shareholders’ meeting: 08:00am March 31, 2010 at Tan Son Nhat Restaurant – 198-200 Hoang Van Thu St., Ward 9, Phu Nhuan Dist., HCMC.

- Approving the schedule and documents for the 2010 annual shareholders’ meeting.

- Approving the shareholder list on March 18, 2010 from the Vietnam Securities Depository and the list was posted on the company’s website from March 19, 2010.

- The invitation letters and authorization letters were sent to all shareholders before March 21, 2010.

- Appointing Mr. Pham Trung Can – Chairman of the BOD as the Chairman of the meeting and other members in the BOD as in the Management Board of the BOD.

- The company assigned employees to do works for the meeting.
