SMC: Resolution of the Board of Directors

The Board of Directors of SMC Investment - Trading Joint Stock Company unanimously adopted the following issues:

Article 1:

- The date to hold the 2010 Annual General Meeting: April 3rd, 2010

- The 2nd dividend payment for 2009: 8%/ par value, in cash

Article 2: Authorizing CFO Nguyen Binh Trong to implement necessary procedures to hold the meeting and pay dividend.

Article 3: The Board of Directors, the Board of Supervisors and the Management are responsible to implement the resolution.
