MSN: Resolution of the BOD

Ma San Group Corporation (MASAN GROUP CORP.) has announced the BOD’s resolution of collecting shareholders’ agreements for private placement as follows:

Suggesting the shareholders’ meeting for approval of a private placement to under 100 strategy investor with 12 million shares of issue volume.

Authorizing Mr. Nguyen Dang Quang – Chairman of the BOD:

* Make a plan of offering shares and using the capital from the issue to submit to the shareholders’ meeting.

* Choosing specific investors

* Deciding offering price, issue time and others.

* Deciding details and terms in contracts with the investors who were chosen.

* On behalf of the company, signing contracts.

Assigning the Directorate and the BOD to implement processes of collecting the agreements.

The resolution is valid as from November 18, 2009.

The Directorate and the BOD have to implement the resolution.
