SKS: Results of Annual General Meeting of Shareholders 2008
Song Da Transportation Construction JSC has disclosed the results of its Annual General Meeting of Shareholders held on 15/4/2009. Participants were 62 representing 1,897,561 shares (accounting for 99.87% of total voting rights).The following resolutions were approved:
1. Operating results of 2008:
- Production: VND 62.000,330,000 (144.7% of plan)
- Revenue: VND 53,046,470,000 (93.2% of plan)
- Profit before tax: VND 5,405,960,000 (88.4% of plan)
- Payables to the State: VND 4,272,910,000 (98.6% of plan)
- Investment: VND 9,894,650,000
- Average income: VND 2,748,000/person/month (98.71% of plan)

7. The Board of Directors is assigned to select one of the two following auditors for 2009:
- Hanoi Profession of Auditing & Accounting Co. Ltd
- Vietnam Auditing and Evaluation Company
8. Seasoned issue plan to increase the Company’s Charter capital from VND 19 billion to VND 25 billion:
- Total volume to be offered: 600,000 shares
- Securities type: common stock
- Par value: VND10,000/share
- Offering method: private placement with less than 100 investors
- Offering price: to be decided by the BOD but higher than book value and not less than 60% of market price at the time of offering.
- Distribution rule: based on price negotiated from highest to lowest
- Regarding undistributed shares: undistributed shares will be considered to be not yet issued and total number of shares issued will be deducted correspondingly.
- Use of proceeds: To invest in current projects and supplement working capital.
- The BOD is assigned to choose the right time for the issue and carry out listing procedure for additional shares after the issue.
