SRA: Results of Annual General Meeting of Shareholders 2009
Sara Vietnam JSC has disclosed the results of its Annual General Meeting of Shareholders. The following resolutions were approved:
1. Audited financial statement 2008 and profit distribution plan:
- Profit after tax: VND 1,719,756,433
- Reduced tax: VND 155,584,391
- Financial reserve fund: VND 120,382,950
- Investment and development fund: VND 120,382,950
- Reward fund: VND 85,987,822
- Dividend payment 2008 (2.19%): VND 1,237,418,320
2. Listing of 458,775 additional shares for dividend payment 2007
3. Offering 2,391,225 common shares to ensure the registered charter capital.
4. Ask for more land to upgrade the technical school to college
5. Mr. Tran Khac Loi wil hold Director in place of Mr. Ho Quoc Trung.
6. Ms. Phan Thi Kim Oanh and Mr. Nguyen Binh Manh will hold members of Supervisory Board in places of Nguyen Anh Tuan and Ms. Tran Thi Hien.
7. Mr. Vu Duy son will hold Manager of the company in place of Mr. Nguyen Van Dinh
8. Auditing company in 2009
- The General Meeting of Shareholders assigned the Board of Directors to choose the auditing company approved by the SSC
9. Amendmend of charter of the company:
10. Adjustment of issuing price of new shares issued to increase Chater Capital as follows:
- Placement of shares with outstading shareholders
- Old issuing price: VND 11,000/share
- New issuing price: VND 10,000/share
- Undistributed shares will be sold to investors decided by the Board of Directors at the price not lower than price offered to outstanding shareholders.
- Placement of shares with employees
- Old issuing price: VND 12,000/share
- New issuing price: VND 10,200/share
- Undistributed shares will be sold to investors decided by the Board of Directors at the price not lower than price offered to employees.
