SKS: Board Resolution
Song Da Transportation Construction JSC announces the Board Resolution approved on 1/7/2009 as follows:
1. Private placement of share to increase the charter capital from VND 19 bil. to VND 25 bil. as follows:
- Name of the issuer: Song Da Transportation Construction JSC
- Stock code: SKS
- Stock type: Common stock.
- Par value: VND 10,000.
- Total volume of shares to be offered: 600,000 shares
- Total value of shares to be offered par value: VND 6 bil.
- Offering method: Private placement
- Subject to be placed with: investors with financial capacity and are willing to buy; investors having conformable business strategy and culture and manifesting commitment to cooperate for the development of the company</o:p>
- Offering price: not less than book value on 31/5/2009 (book value of share on 31/5/2009 worth VND 13,442) and not less than 60% of the trading price of shares on the market at offering time.
- Unsold shares will be issued for other selected subjects.
- At the end of the offering, there are still unsold shares, they will be regarded as unissued shares. Then, the Board of Directors will adjust to decrease the offering volume in accordance with real volume sold to investors in the offering.
- Plan to use the proceeds: investment in project and supplementing to working capital.
- Exercise time for offering and listing of additional shares: From 7/2009 – 8/2009
2. Expected list of investors register to buy 600,000 SKS shares in the private placement of shares to increase the charter capital from VND 19 bil. to VND 25 bil.

- Kim Long Securities JSC – 100,000 shares
- Mr. Luong Huu Khanh – 50,000 shares
- Ms. Dang Thi Tuyet – 30,000 shares

- Ms. Nguyen Thi Mui – 20,000 shares
