MTG: Resolution of the annual shareholders' meeting 2008
MT Gas Joint Stock Company (MT GAS) has informed of resolution of the annual shareholders’ meeting as follows:
Article 1. Shareholders unanimously passed contents as follows:
1.1. Passing the 2008 income statement (from Jan. 01, 2008 to Dec. 31, 2008):
* Sales: 133,133 million dongs
* Profit after tax : (15,576) million dongs
1.2. Passing the 2008 operation report of the BOD.
1.3. Passing the 2008 plan of profit allotment and dividend payment.
1.4. Passing the 2008 report of the Supervisory Board.
1.5. Defining the gas trading, especially the residential gas, as the company’s long-term business target. The company’s 2009 business plan as follows:
* Sales volume of the residential gas at the end of year: 300 tons/month
* Newly investing 150,000 cylinders, 05 lorries for transport, 01 LPG tank lorry
* Charter capital: 80 billion dongs
* Total sales: 155 billion dongs
* Total profit before tax: 13.5 billion dongs
* Profit after tax: 10 billion dongs
* Profit after tax / charter capital: 12.5%
* Expectation dividend: 10% / year
* Total investment capital for purchasing assets: 65 billion dongs
1.6. Assigning the BOD find out reasons of the investment effect on the S’cetpa project. The BOD and Management Board must conform to regulations in the contract signed by MT Gas and Thai Son Company. If the Thai Son Company breaks the contract, MT Gas must withdraw whole contributed capital.
1.7. Authorizing the BOD to choose a audited firm for the 2009 financial statements.
1.8. Approving the extra election result of Ms. Bui Pham Thai Hoa as a member of the Supervisory Board.
1.9. Approving the extra election result of Mr. Duong Minh Tuan as a member of the Supervisory Board.
1.10. Approving the extra election result of Mr. Nguyen Quang Trung as a member of the BOD.
1.11. Approving the extra election result of Mr. Nguyen Quang Trung as a member of the BOD.
Article 2. The resolution was approved by the shareholders’ meeting and was effect as of June 25, 2009.
