HDC: Resolution of Shareholders’ Meeting
Ba Ria - Vung Tau House Development Joint Stock Company (HDC: HODECO) announced a resolution of the Shareholders’ Meeting held under the form of sending ballots to shareholders:
Article 1: Approving the plan of issuing an additional 2,672,000 shares to pay dividend (Tranche 1-2009) and offer shares to current shareholders in order to raise the company’s charter capital from VND81.28 billion to VND108 billion.
1.1. - Issuing 812,800 shares to pay the first tranche of dividend for the year 2009 with a ratio of 10:1 (or 10%).
- The remaining fractional parts (under one unit) after the rounding of the dividend volume will be converted to cash.
1.2. - Issuing 1,859,200 shares to offer the existing shareholder with a ratio of 100:22.87 (or 22.87%) at VND20,000/share.
1.3. - The remaining fractional parts (under one unit) after the rounding of the dividend volume, the offering volume and the rights which shareholders refuse to implement will be offered to the company’s Labor Union at VND20,000/share.
1.4. – Authorizing the Board of Directors to fulfill procedures for the Offering under the Laws.
Article 2: Approving the listing of 2,672,000 newly-issued shares on the Hochiminh Stock Exchange.
Article 3: The resolution will become effective from the date of its signing, 22 July 2009.
