CNT: Resolution of the BOD
Construction And Materials Trading Joint Stock Company (CNT) has informed of passing the resolution of the BOD about doing a shareholder ballot for issuing additional shares with the following issuance method:
* Issuing purpose: Mobilizing capital to support the C&T Plaza project of building office – trading center and premium apartments at An Phu Ward, Dist.2, HCMC.
* Plan of using capital: The amount of share issuance will be added to owners’ equity in 2009
* Issuing volume: 2,000,000 shares, equivalent to VND20 billion
* Stock type: common stock
* Par value: VND10,000
* Expected issuing time: Q4/2009
* Object: Offering shares to existing shareholders
* Distribution time: Right after the State Securities Commission grants the license of offering shares to the public
* Issuing method: Issuing the right of buying shares to existing shareholders
* Exerciser ratio: 4:1 (on the record date, a shareholder who own 1 share will receive 1 right; 4 rights can buy 1 new share. The right of buying shares is transferable and done once only. Transferees are not allowed to transfer the right of buying shares to third parties. The number of additionally-issued shares is transferable).
* Process of fractional parts: The number of shares issued to existing shareholders is rounded in unit. The fractional parts and the shares which shareholders refuse to exercise their right will be determined by the BOD.
* Issuing price: Determined by the BOD
* Other issues: The number of additional-issued shares will be listed on HOSE. The BOD is responsible for doing procedures of issuance and other issues relating to raise of chartered capital in 2009.
