VDL: Results of Annual General Meeting of Shareholders 2009
Lamdong Foodstuffs Joint Stock Company (VDL) has disclosed the results of its Annual General Meeting of Shareholders. The following resolutions were approved:
1. Report of Opearting result of 2008, profit distribution plan, dividend payment:
- Profit before tax: VND 11.536 billion
- Profit after tax: VND 9.899 billion
- Fund: + Investment and Development fund: VND 5.532 billion
+ Financial reserve fund: VND 0.472 billion
+ Reward and welfare fund: VND 0.472 billion
+ Dividend payment: 25%
- Remuneration for the Board of Directors: VND 351,838,000
- Remuneration for Supervisory: VND 98,992,000
2. Plan in 2009
- Revenue: VND 190 billion
- Profit before tax: Minimum VND 11 billion
3. Investment plan in 2009:
- Total value of investment: VND 14.5595 bil.
4. Remuneration for the Board of Directors and Supervisory Board 2009
- For the Board of Directors:
+ If profit in 2009 is the same as that in 2008, remuneration will be 3% of profit after tax 2009
+ If profit in 2009 is bigger than profit in 2008, remuneration will be added 6% of the excessive profit.
- For Supervisory Board: 1% of profit after tax in 2009
- Dividend payment: Minimum 20%/ charter capital
5. Chair of the Board will hold Manager concurrently
6. Selecting auditor:
- The Board of Directors will select one of these auditing companies:
+ Consultancy Services Finance Accounting & Auditing Southern Ltd
+ Auditing and Accounting Financial Consultancy Services Company Limited
+ Vietvalues
+ Consulting and Auditing Company CA&A
+ AS Auditing Company
