TPP: Results of Annual General Meeting of Shareholders 200
Tan Phu Plastic JSC (TPP) has disclosed the results of its Annual General Meeting of Shareholders. The following resolutions were approved:
1. Reports of 2008 and plan in 2009
- Operating result 2008 and plan 2009
- Remuneration for the Board of Directors and Supervisory Board
- Audited Consolidated Financial statement 2008
- Report of Supervisory Board 2008
- Plan in 2009:
+ Revenue: minimum is VND 195 bil.
+ Profit before tax: minimum is VND 3.6 bil.
+ Dividend payment: 10%
2. Profit distribution plan 2008:
- Profit before tax: VND 5,637,490,306
- Income tax payable: VND 1,997,948,956
- Investment and Development fund: VND 155,177,191
- Reserve fund for Charter Capital supplement: VND 168,473,996
- Financial reserve: VND 168,473,996
- Dividend payment: VND 2,600,000,000
- Bonus for Management board fund: VND 104,196,952
- Reward and welfare fund: VND 320,967,795
- Related company and minority shareholder fund: VND 122,251,420
3. Seasoned issue to increase Charter Capital 2009: (Investment in equipment, workshop, and transfering land leasing right)
a) Placement with outstanding shareholders:
- Volume: 500,000 shares
- Exercise rate: 4:1 at price no less than par value
b) Placement with strategic shareholders
- Volume: 1,500,000 shares
- Price: no less than the price issued for outstanding shareholders
c) Listing additional shares on HASTC.
4. Mr Tran Xoa continues to hold Member of Supervisory Board to the end of his term.
