VC6: Results of Annual General Meeting of Shareholders 2009
Vinaconex 6 JSC has disclosed the results of its Annual General Meeting of Shareholders. The following resolutions were approved:
1. Report of Operating result of 2008
- Operating result: VND 402.62 bil
- Revenue: VND 331.19 bil.
- Profit before tax: VND 14.4 bil.
- Principal construction investment: VND 62.99 bil.
- Payables to the State: VND 23.57 bil.
- Dividend payout ratio: 15%
2. Plan in 2009
- Operating result: VND 421.44 bil
- Revenue: VND 345bil.
- Profit before tax: VND 15.12 bil.
- Investment: VND 65 bil.

- Payables to the State: 19.74
- Dividend payout ratio: 15%
3. Report of Supervisory Board’s activities
4. Audited financial statement 2008 and profit distribution plan:
- Profit after tax: VND 11.835 bil.
- Profit paid VINACONEX corporation: VND 1.398 bil.
- Development fund: VND 1.71 bil.
- Financial reserve fund: VND 213 mil.
- Reward and welfare fund: VND 1.924 bil.
- Dividend payment 2008 (15%): VND 5.7 bil.
- Other funds: VND 427.69 mil.
- Remuneration for Management Board and Supervisory Board: VND 186 mil.
5. Payment for Board of Directors and Supervisory Board, and key staff of the company 2009
- Completing the plan 2009: 1% of profit after tax
- Exceeding the plan 2009: the above bonus plus with 20% of the excessive profit
6. Auditing company in 2009
- The General Meeting of Shareholders assigned the Board of Directors to choose the auditing company proposed (AASC, IFC) or approved by the SSC.
7. Issue shares to increase Chater Capital from VND 40 bil. to 50 bil. as the plan approved by AGM 2008.
8. Change in Board of Directors:
- Mr. Do Dinh Hung – Chair of the Board will hold Manager concurrently
- Mr. Hoang Hoa Cuong will hold Director in place of Mr. Cao Quang Truong
9. Change in the Supervisory Board:
- Ms. Tran Hong Van will hold Chief of the Supervisory Board in place of Mr. Tran Van Tam
