SSM: Board Resolution on dividend payment and odd lot share settlement
On 14/5/2009, the Board of Directors of Steel Structure Manufacture JSC approved the Resolution No.244 on dividend payment and odd lot share settlement. This resolution replaces the resolution No 243. The resolution is as follows:
1. Dividend payment (27.51%/share/year): VND 7,559,382,513
- 20.51% in cash (10% paid in first and second rounds )
- 7% by share
- Resource: profit after tax and exempted tax
2. Method:
* Dividend payment in cash: (transfer to the account or cash)
- For deposited shares: securities companies where shares of shareholders have been deposited.
- For undeposited shares: head office of the company, Road No.9 – Hoa Khanh IZ – Danang city. In case of authorization, a proxy with certified seal of the local authority is requested.
* Dividend payment by share:
- Number of shares before the payment: 2,751,664 shares (3,547 shares of which are from treasury stock)
- Number of additional shares after the distribution: 192,368 shares (treasury stock excluded)
- Total number of shares after the distribution (temporarily estimated): 2,944,032 shares
3. Settlement of odd lot shares in dividend payment by share:
- Number of shares are rounded down to digit unit
- Odd lot share (less than 1 share): to be paid pro rata in cash at VND 10,000/share
- Expected exercise time: After the approval of SSC, the company will made a list of shareholders for dividend payment 2008 and the payment would be made 10 days after the record date.
This document replaces the Board Resolution on 16/4/2009.
