TMC: Resolution of the BOD

Thu Duc Trading and Import - Export Joint Stock Company (TMC: TIMEXCO) has informed of resolution of the BOD as follows:

1. Election result of the BOD for the term of 2009-2014:

* Mr. Ma Duc Tu has been appointed to Chairman of BOD.

* Ms. Nguyen Thi Nam has been appointed to Vice chairman of BOD.

2. Appointing members of the Managment Board for the 3-year term of 2009-2012:

* Mr. Ma Duc Tu – General Director

* Ms. Nguyen Thi Nam – Deputy General Director

* Mr. Phan The Vinh - Deputy General Director

* Mr. Nguyen Thanh Binh – Chief Accountant

* Authorizing the Managment Board to appoint the positions of senior managers.

3. Promulgating interal regulations of the company

4. Authorizing General Director to promulgate regulations of salary and bonus payment

5. Compensation for the BOD and Supervisory Board for 2009:

Compensation for the BOD and Supervisory Board for 2009 makes up 2% of profit after tax. The monthly compensation is calculated as follows:

* Chairman of BOD: VND5 million

* Vice chairman of BOD: VND4 million

* Head of Supervisory Board: VND4 million

* Members of BOD: VND3.5 million

* Members of Supervisory Board: VND3 million

6. Dividend payment:

* Dividend payment in advance for the first time 2009: 6%

* Payment of remaining dividend of 2008: 4% (In 2008, dividend was paid for two times as 15%).

* Record date: Mid of May 2009
