CID: Results of Annual General Meeting of Shareholders 2009
Construction and Infrastructure Development JSC has disclosed the results of its Annual General Meeting of Shareholders held on 18/04/2009. The following resolutions were approved:
1. Annual Report 2008 and plan in 2009
- Report of the Board of Directors
- Report of Managemnt Board
- Operating result of 2008
- Plan in 2009
2. Dividend payment and profit distribution plan 2008:
- Dividend payment rate: 10% VND 1,082,000,000
- Financial reserve fund: 5% VND 63,000,000
- Reward fund: 4% VND 50,400,000
- Welfare fund: 3.5% VND 44,100,000
- Remuneration for the Board of Directors and Supervisory Board: 1.5% VND 17,900,000
3. Report of Supervisory Board
4. Change in the company’s charter;
- Charter Capital is VND 10,820,000,000
5. Selecting auditor: the Board of Directors will select an auditor for 2009.
6. Electing Member of Supervisory Board
- Ms. Dang Thi Thu Ngan has been appointed Member of Supervisory
7. Profit distribution plan 2009:
- Dividend payment rate: 13%
- Financial reserve fund: 6%
- Reward fund: 4%
- Welfare fund: 3%
- Remuneration for the Board of Directors: 1% of profit after tax
- Remuneration for Supervisory Board: 0.5% of profit after tax
