ACB: Results of Annual General Meeting of Shareholders 2009

Asia Commercial Bank has disclosed the results of its Annual General Meeting of Shareholders held on 18/04/2009. The following resolutions were approved:

1. Report of Operating result of 2008

- Total asset: VND 170,000 billion

- Financing from customers: VND130,000 billion

- Credit loan: VND 65,000 billion

- Profit : VND 2,700 billion

2. Plan to use profit 2009

3. Capital investment: VND 3,334 billion (including the foundation of two new subsidiaries)

4. Consolidated financial statement 2008

5. Report of Supervisory Board

6. Profit distribution plan 2008:

7. Plan of seasoned issue to increase Charter Capital

•        Total volume of shares to be issued: 145,832,477 shares with total value of VND 1,458,324,770,000
•        Resources to increase Charter Capital:

* From the convertible bond: VND 1,349,931,000,000

- Subject investors: bond holders on list of record date decided by the Board of Directors

- Conversion ratio: 1 bond with par value of VND 1,000,000 will be converted into 100 shares with par value of VND 10,000)

- Volume of shares to be issued: 134,993,100 shares

- Time: to be decided by the board of Directors

* From Reserve fund for charter capital supplement: VND 108,393,770,000

- Subject investors: shareholders on list of record date

- Rate: 1,41%

- Volume of shares to be issued: 10,839,377 shares

- Time: to be decided by the board of Directors

8. Plan of using resources  2009 to increase Charter Capital plan

9. The Board of Directors decide time to implemnet the Charter Capital increasing plan

10. Listing a part or all the shares to be issued

11. The Board of Directors can adjust plan to increase Charter Capital

12. Increase Charter Capital from VND 6355,812,780,000 to VND 7,814,137,550,000

13. Changes in the Company’s charter

14. Supplementing business line in case of being required:  Bond trading and securities depository

15. Establishment of  ACB Finance Company Ltd. with charter capital of VND300 billion.
