STC: Board resolution

On 19/11/2008, the following resolutions of the Board of Directors of Book and Educational Equipment JSC in Ho Chi Minh city were duly passed:

1. Change the management organization from the board of managers into board of general managers.

The management apparatus of the company has been organized as follows:

-   General Manager: Mr. Tu Van Son

-   Deputy General Manager:

+ Mr. Le Ke Duc

+ Mr. Ngo Tran Vinh

+ Mr. Phan Xuan Hien

-          Chief Accountant: Mr. Tran Van Hung

-          Manager, Deputy Manager of enterprises, centers of the company

-          Manager, Deputy Manager of departments which belong to Office of the company.

2. Repurchase 100,000 STC shares for treasury stock

- Resource: Production and business development investment fund

- Pricing method: market price

3. Dividend payment for the second round of 2008

- Exercise rate: 6%

- Total value for dividend payment: VND 3,399,318,000
