Purpose of using the list of shareholders:
To pay dividend:
Issuing volume: 13,500,000 shares
Apportion ratio: 1:1
Exercise ratio: 10:3 (The one who owns 10 shares at the record date will receive 3 shares as dividend). The volume will be rounded down. The fractional parts will be bought back as treasury stock.
For example, at the record date, shareholder Nguyen Van A currently owns 125 shares, the calculation as follows:
The number of shares distributed in theory: (125x3)/10 = 37.5 shares
The number of shares in practical: 37 shares
The number of shares bought back by the company: VND10,000 x 0.5 share = VND5,000.
Therefore, Mr. A will received 37 new shares and VND5,000.
The right and the dividend in stock are transferable. The shareholders who are currently restricted to transfer their shares can receive dividend in stock.
The company will pay in cash for the number of shares bought back on June 27th, 2008.
Estimated trading date: July 28th, 2008
Place & procedure of payment:
-Shareholders whose shares have been deposited: at the securities firms where the shares have been deposited.
-Shareholders whose shares have not been deposited: at SAIGONTEL.
Please submit ID and shareholder certificates on receipt of dividend. The legal authorized letters should be presented by the substitutes.
To get shareholders’ ballots on:
Listing these 13,500,000 shares.
Listing 18,000,000 shares which were issued privately to major investors and approved by annual shareholders’ meeting on April 26th, 2008.
Ballots will be posted from June 25th, 2008.
Time for returning ballots: from June 30th, 2008 to July 5th, 2008.
Vietnam Securities Depository _ HCMC Branch will temporarily suspend the depository activities for SGT on June 12th, 13th & 16th, 2008.
