HRC: Resolution on the AGM 2023

On June 20, 2023, Hoa Binh Rubber Joint Stock Company announces the resolution of annual general meeting 2023 to approve the following contents:

1. The AGM approved the business result in 2022:

-          Total revenue: 205,274 million dongs

-          Profit before tax: 10,158 million dongs

-          Profit after tax: 10,158 million dongs.

1. The AGM approved the business plan in 2023:

-          Total revenue: 177,712 million dongs

-          Profit before tax: 5,500 million dongs

-          Profit after tax: 5,500 million dongs.

1. The AGM approved the report of the Board of Directors.
2. The AGM approved the report of the Supervisory Board.
3. The AGM approved the 2022 profit allocation:

-          The profit of 2022:

• Profit before tax: 10,158,848,783 dongs
• Profit after tax: 10,158,848,783 dongs
• Accumulated profit after tax until 12/31/2022: 15,158,848,783 dongs.

-          To distribute the profit of 2022:

• Reward and welfare fund: 3,866,000,000 dongs
• Bonus to Management: 68,000,000 dongs
• Invetsment and development fund: 2,162,862,183 dongs
• To pay cash divdend: 9,061,986,600 dongs.

1. The AGM approved the profit distribution plan in 2023.
2. The AGM approved the remuneration of the BOD, Supervisory Board in 2022 and plan for 2023.
3. The AGM approved the foreign owership ratio limit at HRC to 0%.
4. The AGM approved the selection of the auditor for the financial statements in 2023.
