FIR: Resolution on the AGM 2023 On March 17, 2023, First Real Joint Stock Company announces the resolution of annual general meeting 2023 to approve the following contents:
1) The AGM approved the report of the Board of Directors.
2) The AGM approved the audited financial statements in 2022.
3) The AGM approved the business result in 2022:
- Net sales: 384,512,017,497 dongs
- Profit after tax: 114,590,708,716 dongs.
4) The AGM approved the business plan in 2023:
- Net sales: 500,000,000,000 dongs
- Profit after tax: 120,000,000,000 dongs.
5) The AGM approved the plan to use the profit after tax in 2022:
- Profit after tax used to pay stock dividend according to the Resolution of General Meeting of Shareholders dated June 30, 2022: 89,228,450,000 dongs.
6) Remaining accumulated undistributed profit after tax: 119,298,874,466 dongs.
7) The AGM approved the selection of the auditor for the financial statements in 2023.
8) The AGM approved the remuneration of the BOD in 2023 with VND5 million/person.
9) The AGM approved the stock issuance for 2021 dividend payment:
- Estimated issuance volume: 10,707,572 shares
- Total value of estimated issuance: VND107,075,720,000
- Exercise ratio: 20% (100:20) (Those who own 100 shares will receive 20 new shares)
- Estimated time: 2023, after being approved by the State Securities Commission of Vietnam (SSC).
- Transfer restriction: none
10) The AGM approved the resignation letter of Independent member of the BOD – Mr. Than Ha Nhat Thong.
11) The AGM approved the additional election of Mr. Le Tuan as Independent member of the BOD for the term 2020-2025.
