TTB: Divestment at subsidiaries

  The Board resolution dated December 29, 2022, the Board of Directors of Tien Bo Joint Stock Company approved the divestment at subsidiaries as follows:

1. Approved the transfer of shares in Binh Minh Phat Investment Joint Stock Company:

-          Owning volume before transferring: 21,500,000 shares, equivalent to 82.69% charter capital of Binh Minh Phat Investment Joint Stock Company

-          Transfer volume: 9,000,000 shares, equivalent to 34.61% charter capital of Binh Minh Phat Investment Joint Stock Company

-          Estimated selling price: VND10,000/share

-          Total proceeds: VND90,000,000,000

-          Owning volume after transferring: 12,500,000 shares, equivalent to 48.08% charter capital of Binh Minh Phat Investment Joint Stock Company.

2. Approved the transfer of shares in Dai Huu Commercial Construction Joint Stock Company:

-          Owning volume before transferring: 8,500,000 shares, equivalent to 97.14% charter capital of Dai Huu Commercial Construction Joint Stock Company

-          Transfer volume: 4,500,000 shares, equivalent to 51.43% charter capital of Dai Huu Commercial Construction Joint Stock Company

-          Estimated selling price: VND10,000/share

-          Total proceeds: VND 45,000,000,000

-          Owning volume after transferring: 4,000,000 shares, equivalent to 45.71% charter capital of Dai Huu Commercial Construction Joint Stock Company.
