SHB: BOD resolution dated October 19, 2022 The Board resolution dated October 19, 2022, the BOD of Sai Gon – Ha Noi Commercial Joint Stock Bank approved the following contents:
- Approved the order of the offering/issuance of shares to increase charter capital:
- Phase 1: Stock issuance to pay dividend for 2021
- Phase 2: Share public offering
- Phase 3: Stock issuance under ESOP.
- Approved that the Company has not yet implemented the share public offering and stock issuance under ESOP. Accordingly, the Company implements the stock issuance to pay dividend for 2021 in Quarter IV/2022.
- Plan for stock issuance to pay dividend in 2021:
- Stock name: Sai Gon – Ha Noi Commercial Joint Stock Bank
- Stock type: common share
- Par value: VND10,000/share
- Number of shares expected to be issued: 400,031,041 shares
- Total value of issuance: VND4,000,310,410,000
- Exercise ratio: 100:15 (Those who own 100 shares will receive 15 new shares)
- Time of implementation: expected in Quarter IV/2022, after being approved by the State Securities Commission of Vietnam (SSC).
- Plan to deal with fractional shares: The distributed shares will be rounded down to units, the fractional shares will be cancelled.
- For example: at the record date, shareholder A owns 1,565 shares. With 15% exercise ratio, the shareholder A will receive: 1,565*15/100 = 234.75 shares. According to rounding policy, the shareholder A will receive 234 new shares and fractional shares of 0.75 share will be cancelled. HOSE
