HAH: BOD resolution dated September 15, 2022

The Board resolution dated September 15, 2022, the BOD of Hai An Transport and Stevedoring Joint Stock Company approved the replacement of Meeting Minutes and the Board resolution dated June 27, 2022 on implementing the plan for stock issuance under ESOP with details as follows:

1. Approved the issuance plan:

-          Stock name: Hai An Transport and Stevedoring Joint Stock Company

-          Stock type: common share

-          Par value: VND10,000/share

-          Issue volume: 2,048,850 shares

-          Total value of issue: VND20,488,500,000

-          Issue rate: 2.999%

-          Issue price: VND10,000/share

-          Plan to deal with unsold shares: The unsold shares (if any) will be decided by the Board of Directors to distribute to other employees with the selling price of VND10,000/share.

-          Time for transfer restriction: 01 year from the ending of the offering.

-          Bank for blocking depository money:

+ Account holder: Hai An Transport and Stevedoring Joint Stock Company

+ Account number: 0031000317662

+ Bank: Viecombank – Hai Phong branch.

-          Time of implementation: expected in 2022, after being approved by the State Securities Commission of Vietnam (SSC).

1. Approved the Regulation on stock issuance under ESOP.
2. Approved the list and the number of shares to offer to the employees.
3. Approved the dossier of registration for stock issuance under ESOP.
